Welcome to NextcraftAI. These Terms of Service ("Terms") govern your access to and use of our unified AI API Gateway service ("Service"). Please read these Terms carefully before using our Service.

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

By creating an account, accessing, or using NextcraftAI, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Description of Service

NextcraftAI provides a unified API interface for accessing multiple Large Language Model (LLM) providers, including but not limited to Google Gemini and OpenAI. Our Service includes:

• Unified API endpoints compatible with OpenAI format
• Intelligent routing across multiple AI providers
• Usage analytics and cost tracking
• API key management and authentication
• Real-time wallet balance management for pay-as-you-go billing

3. Account Registration and Security

3.1 Account Requirements

• You must be at least 18 years old (or the age of majority in your jurisdiction) to use our Service
• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately of any unauthorized access to your account

3.2 Account Security

You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from unauthorized use of your account. You agree to use strong passwords and keep your API keys secure.

4.1 Pay-As-You-Go Model

Our Service operates on a pay-as-you-go billing model. You must maintain a minimum wallet balance of $0.10 to make API requests. Costs are deducted from your wallet balance based on actual token usage according to our pricing structure.

4.2 Payment Processing

• Payments are processed securely through Stripe
• All prices are in USD unless otherwise stated
• You authorize us to charge your payment method for wallet top-ups
• Wallet balances are non-refundable, except as required by law or at our sole discretion

4.3 Pricing and Changes

Pricing is based on per-token usage and varies by model and provider. We reserve the right to modify our pricing at any time. Price changes will be communicated through your dashboard and/or email. Continued use of the Service after price changes constitutes acceptance of the new pricing.

You agree not to use the Service for any unlawful or prohibited purpose. Prohibited activities include:

• Violating any applicable laws, regulations, or third-party rights
• Generating harmful, illegal, or abusive content
• Attempting to reverse engineer, decompile, or extract our API secrets
• Overwhelming our infrastructure through excessive requests (rate limits apply)
• Using the Service to infringe on intellectual property rights
• Transmitting viruses, malware, or other malicious code
• Impersonating others or providing false information
• Reselling or redistributing API access without authorization

6. Service Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted or error-free service. We may:

• Perform scheduled maintenance with reasonable notice
• Modify, suspend, or discontinue features with or without notice
• Implement rate limits to ensure fair usage
• Update our service to improve functionality or security

We are not liable for any damages arising from service interruptions or modifications.

7. Intellectual Property

7.1 Our Rights

The Service, including its design, functionality, and documentation, is owned by NextcraftAI and protected by intellectual property laws. All rights not expressly granted are reserved.

7.2 Your Content

You retain ownership of content you submit through the Service. By using the Service, you grant us a license to process, transmit, and store your content as necessary to provide the Service. You are responsible for ensuring your content does not violate any laws or third-party rights.

7.3 Third-Party Services

Our Service integrates with third-party AI providers (Google Gemini, OpenAI). The outputs generated by these providers are subject to their respective terms of service and usage policies.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND
• WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
• WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM
• WE ARE NOT RESPONSIBLE FOR THE ACCURACY OR QUALITY OF AI-GENERATED CONTENT

9.1 Termination by You

You may terminate your account at any time by deleting your account through the dashboard or contacting us. Upon termination, your access to the Service will cease immediately.

9.2 Termination by Us

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion. We will provide reasonable notice when possible, except in cases of imminent harm or legal violations.

9.3 Effect of Termination

Upon termination, your right to use the Service immediately ceases. We may delete your account data in accordance with our Privacy Policy. Outstanding wallet balances may be forfeited unless required by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless NextcraftAI and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through:

• Good faith negotiation between the parties

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and NextcraftAI
• Severability: If any provision is found unenforceable, the remaining provisions will remain in effect
• Waiver: Our failure to enforce any provision does not constitute a waiver
• Assignment: You may not assign these Terms without our written consent; we may assign these Terms without restriction
